These Terms of Service ("Terms") are a legal agreement between you and Brigade Management, Inc. ("Brigade," "we," "us," or "our"), the provider of BrigadeAI, and govern your access to and use of the website at brigadeai.com (the "Site") and the BrigadeAI platform and related services (the "Services"). By accessing the Site or using the Services, you agree to these Terms. If you do not agree, do not use the Site or the Services.

1Eligibility and intended use

The Services are offered solely to United States Federal, State, Local, and Tribal government entities and their authorized personnel, acting in an official capacity. By using the Services you represent that you are such an entity or an authorized representative of one, and that you have authority to accept these Terms. The Services are not offered for personal, household, or general commercial use.

2The Services

BrigadeAI is a secure, government-focused artificial intelligence platform that assists authorized government staff with tasks such as document question-and-answer, drafting and correspondence, records-request response, and internal knowledge search — grounded in the customer's own documents. The Services are architecturally scoped to keep out of criminal-justice systems (CJIS-scoped data), transactional systems of record (such as HR/payroll, permitting, courts, and computer-aided dispatch or records management systems), and citizen-facing surfaces. The Services do not create or publish agency policy; that authority remains with the customer and its counsel. Access to and use of the BrigadeAI platform by a government customer is governed by a separate written agreement, order form, or master services agreement between that customer and Brigade (an "Agency Agreement"). In the event of a conflict between these Terms and an executed Agency Agreement, the Agency Agreement controls with respect to the Services provided under it.

3Accounts and security

Where the Services require an account, you are responsible for maintaining the confidentiality of your credentials and for activity conducted under your account. You agree to notify us promptly of any unauthorized access or use at security@brigadeai.com. We may suspend access where necessary to protect the security or integrity of the Services.

5Agency data and ownership

As between the parties, a government customer retains all right, title, and interest in the data and content it submits to the Services ("Agency Data"). Brigade will not sell, license, or disclose Agency Data except as directed by the customer or as required by the applicable Agency Agreement or law, and Brigade will not use Agency Data to train public or third-party AI models. Brigade's handling of Agency Data, including security, retention, and return or deletion, is further described in our Privacy Policy and the applicable Agency Agreement.

6Fees and payment

Browsing the Site is free. Use of the BrigadeAI platform is provided under the pricing and payment terms set out in the applicable Agency Agreement or order form, which may include annual or multi-year subscriptions. Billing questions may be directed to billing@brigadeai.com. Contracting and procurement inquiries may be directed to contracts@brigadeai.com.

7Intellectual property

The Site, the Services, and all related software, models, content, and trademarks (including the BrigadeAI name and logo) are owned by Brigade Management, Inc. or its licensors and are protected by law. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Site for its intended purpose. No other rights are granted by implication.

8Third-party services

The Site and Services may rely on or link to third-party products and services. We are not responsible for the content, policies, or practices of third parties, and your use of a third-party service is governed by that party's terms.

9Disclaimers

The Site and Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. BrigadeAI assists authorized personnel; its outputs may contain errors and must be reviewed by qualified personnel. The Services should not be used as the sole basis for any operational, investigative, legal, or enforcement decision.

10Limitation of liability

To the fullest extent permitted by law, Brigade will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, use, or profits, arising out of or related to the Site or Services. Brigade's total liability arising out of or related to the Site or Services will not exceed the amounts paid to Brigade for the Services giving rise to the claim in the twelve (12) months preceding the event (or, for use of the Site alone where no fees are paid, one hundred U.S. dollars). Some of these limitations may be modified by, or may not apply under, an executed Agency Agreement or applicable law.

11Term and termination

These Terms apply while you use the Site or Services. We may suspend or terminate access for breach of these Terms, for non-payment under an Agency Agreement, or where necessary to protect the Services or comply with law. Provisions that by their nature should survive termination — including ownership, disclaimers, limitations of liability, and governing law — will survive.

12Governing law

To the extent permitted by applicable law and consistent with a government customer's status as a public entity, these Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules, and the state and federal courts located in Texas will have jurisdiction over disputes arising under these Terms. Where a government customer is legally required to apply its own governing law or venue, the parties will address that requirement in the applicable Agency Agreement.

13Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will revise the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Site or Services after an update constitutes acceptance of the revised Terms.
